SELLER REGISTRATION AND KYC POLICY
1. INTRODUCTION AND PURPOSE
1.1. This Seller Registration and Know Your Customer (KYC) Policy (the “Policy”) details the procedures, mandatory information, and documentation required for individuals and business entities (referred to herein as “Sellers”, “You”, “Your”) to register and complete identity verification in order to list and sell products on the Gajab.com website (www.gajab.com) and associated mobile applications (collectively, the "Platform"), operated by Aeliya Technologies Private Limited (“Company”, “We”, “Us”, “Our”).
1.2. Completing the registration and verification process outlined in this Policy is mandatory. It is essential for ensuring the safety and trustworthiness of the Platform, preventing fraud and misuse, and enabling the Company to comply with applicable Indian laws and regulations. These include, but are not limited to, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection (E-commerce) Rules, 2020, the Goods and Services Tax (GST) Act, 2017, the Prevention of Money Laundering Act (PMLA), 2002, and relevant Master Direction – Know Your Customer (KYC) Direction, 2016 issued by the Reserve Bank of India (RBI).
1.3. This Policy applies to all prospective Sellers seeking to register on the Platform and all currently registered Sellers undergoing verification or re-verification.
1.4. This Policy supplements and forms part of the Seller Agreement governing Your use of the Platform. Capitalised terms used herein but not defined shall have the meaning ascribed to them in the Seller Agreement.
2. INFORMATION AND DOCUMENTS REQUIRED
2.1. To register and get verified as a Seller, You must provide certain information and submit clear, valid copies of specific documents. The requirements vary based on Your legal entity type. You must ensure all information provided is true, accurate, current, and complete.
2.2. For Individual Sellers / Sole Proprietors: (a) Information Required: * Full Name (as per PAN/ID) * Business Name / Trading Name (if applicable) * Registered Operating Address / Principal Place of Business * Personal Address (if different and required) * Contact Details (Mobile Number, Email Address) * Bank Account Details (Account Holder Name, Account Number, IFSC Code, Bank Name & Branch) * Permanent Account Number (PAN) * Goods and Services Tax Identification Number (GSTIN) (Required if Your total turnover exceeds the prescribed threshold under GST law, or if You are making any interstate taxable supply, or if otherwise mandatory for selling goods/services online via an e-commerce operator under current GST regulations.) (b) Documents Required (Copies): * PAN Card * Government-issued Proof of Identity (Any one from the following list - Passport, Voter ID Card, Driving Licence. Optionally, Aadhaar Card may be submitted voluntarily, but is not mandatory; if provided, it will be handled as per applicable law.) * Proof of Address (Matching registered address - Any one from the following list - Latest Utility Bill (Electricity/Gas/Telephone that shall not be older than last 3 months), Bank Account Statement/Passbook showing the transactions of the last 3 (three) months, valid and registered Rent/Lease Agreement, Passport, Voter ID Card, or Driving Licence) * Bank Account Proof (e.g., Cancelled Cheque with Account Holder Name clearly printed matching the registered Seller Name / PAN Name, or Latest Bank Statement/Passbook copy clearly showing Account Holder Name, Account Number, IFSC code, and matching the registered Seller Name / PAN Name). Exact name match is crucial for verification) * GST Certificate (if applicable/registered) * Mandatory Licences/Registrations (if applicable): Sellers listing products in regulated categories (such as Food items, Health supplements, Medical devices, Organic products, Seeds/Pesticides) must provide valid licences/registrations required by law (including without limitation, FSSAI Licence, Drug Licence, Ayush Licence, Organic Certification.). Failure to provide mandatory licences will prevent listing in those categories
2.3. For Partnership Firms: (a) Information Required: * Registered Firm Name * Registered Office Address / Principal Place of Business * Contact Details (Firm Email, Phone; Authorised Partner Contact) * Bank Account Details (Firm's Account) * Firm's PAN * Firm's GSTIN * Details of all Partners (Name, Address, Contact) (b) Documents Required (Copies): * Registered Partnership Deed * Firm's PAN Card * Firm's Address Proof (e.g., utility bill, bank statement, rent agreement in firm's name) * GST Certificate * Firm's Bank Account Proof (e.g., cancelled cheque, bank statement) * ID Proof and Address Proof for all Authorised Partner(s) signing/operating the account (as listed for Individuals in 2.2(b)) * Authorisation Letter on Firm/LLP letterhead, signed by all partners / designated partners (as applicable per the Deed/Agreement), authorising specific partner(s) to manage the account.
2.4. For Limited Liability Partnerships (LLPs): (a) Information Required: * Registered LLP Name * Registered Office Address * Contact Details (LLP Email, Phone; Designated Partner Contact) * Bank Account Details (LLP's Account) * LLP's PAN * LLP's GSTIN * Details of all Designated Partners (b) Documents Required (Copies): * Certificate of Incorporation of LLP * LLP Agreement * LLP's PAN Card * LLP's Address Proof (e.g., utility bill, bank statement, rent agreement in LLP's name) * GST Certificate * LLP's Bank Account Proof (e.g., cancelled cheque, bank statement) * ID Proof and Address Proof for all Designated Partner(s) authorised to operate the account (as listed for Individuals in 2.2(b)) * Authorisation Letter on Firm/LLP letterhead, signed by all partners / designated partners (as applicable per the Deed/Agreement), authorising specific partner(s) to manage the account.
2.5. For Private Limited / Limited Companies: (a) Information Required: * Registered Company Name * Registered Office Address & Principal Place of Business * Contact Details (Company Email, Phone; Authorised Director/Officer Contact) * Bank Account Details (Company's Account) * Company's PAN * Company's GSTIN * Corporate Identification Number (CIN) * Details of Key Directors/Management Personnel (b) Documents Required (Copies): * Certificate of Incorporation * Memorandum of Association (MoA) and Articles of Association (AoA) * Company's PAN Card * Company's Address Proof (e.g., utility bills not older than 3 (three) months, bank statement of the last 3 (three) months, registered rent agreement in company's name) * GST Certificate * Company's Bank Account Proof (e.g., cancelled cheque, bank statement) * ID Proof and Address Proof for Authorised Director(s)/Officer(s) operating the account (as listed for Individuals in 2.2(b)) * Certified True Copy of the Board Resolution authorising the opening/operation of the account on gajab.com and appointing the authorised signatory/operator.
2.6. General Requirements: (a) All documents submitted must be clear, legible, valid, and not expired. (b) The Company reserves the right to request additional documents or information based on its risk assessment, specific product categories being sold, or changes in regulatory requirements. (c) Providing false, misleading, or forged documents is strictly prohibited and shall lead to immediate account termination and reporting to the Financial Intelligence Unit (FIU-IND) or applicable law enforcement.
2.7 Beneficial Ownership: For all non-individual entities (Partnerships, LLPs, Companies), the Seller shall provide a declaration identifying the Ultimate Beneficial Owner (UBO) who owns or controls 10% or more (for companies) or 15% or more (for firms/unincorporated bodies) of the entity, in compliance with the Prevention of Money Laundering (Maintenance of Records) Rules, 2005.
3. VERIFICATION PROCESS
3.1. Upon submission of the required information and documents during the Seller registration process, the Company (or its authorised third-party verification partners) will review them for authenticity, completeness, and compliance with this Policy and applicable laws.
3.2. The verification process may involve cross-referencing information with publicly available sources or government databases where legally permissible (such as verifying GSTIN on the GST portal, verifying PAN).
3.3. The Company shall aim to complete the initial verification process within 7 (seven) business days, subject to external verification dependencies, after receiving all required information and documents in the correct format. However, this timeframe is indicative and may vary depending on the complexity of the case, document clarity, and responsiveness of external verification sources.
3.4. The Company reserves the right, at its sole discretion, to request additional information, clarification, or documentation from You if the submitted materials are incomplete, unclear, or require further validation. You must respond to such requests promptly.
3.5. Based on the verification process, the outcome will be one of the following: (a) Successful Verification: Your application is approved, and Your selling privileges are activated (or remain active). (b) Request for Additional Information/Correction: You will be notified of any discrepancies or missing information/documents and requested to provide corrections or additional details within a specified period. (c) Rejection: Your application may be rejected if verification criteria are not met (including without limitation, Name mismatch between PAN/Bank/GST documents, submitted documents are blurry/expired/illegible, address proof does not match registered address), required documents are not provided within the specified timeframe, information is found to be false, misleading, or fraudulent activity is suspected, or the applicant is linked to previously terminated accounts.
3.6. You will be notified of the verification status and outcome primarily through email to Your registered email address or via notifications on Your Seller Dashboard on the Platform.
3.7 Data Fiduciary Status: The Seller acknowledges that the Company acts as a Data Fiduciary under the Digital Personal Data Protection Act, 2023. KYC documents are processed solely for the purpose of 'Legitimate Use' as defined under Section 7 of the Act to ensure legal compliance and fraud prevention.
4. CONSEQUENCES OF FAILED VERIFICATION OR INACCURATE INFORMATION
If Your verification cannot be successfully completed, or if any information or documentation You provide at any time (during registration or later) is found to be false, inaccurate, incomplete, misleading, forged, or fraudulent, the Company reserves the right, in its sole discretion and without limiting any other rights or remedies available under the Platform Agreements or law, to take one or more of the following actions immediately and without prior notice where deemed necessary: (a) Reject Your application for Seller registration. (b) Request corrected or additional information/documents within a specified timeframe, failing which Your application may be rejected or Your existing Account suspended. (c) Immediately suspend Your Seller Account and all associated selling privileges pending further investigation or corrective action. (d) Permanently terminate Your Seller Account and selling privileges on the Platform. (e) Withhold any pending payouts or funds associated with Your account, pending investigation or to the extent of any anticipated statutory liability, chargeback risk, or indemnity claims, as determined by the Company. (f) Take any other actions permitted under the Seller Agreement. (g) Report suspected fraudulent, illegal, or suspicious activity to relevant law enforcement agencies, regulatory bodies, tax authorities, or financial institutions.
5. ONGOING VERIFICATION AND UPDATES
5.1. You have an ongoing obligation to ensure that all information and documentation provided for registration and KYC purposes (including Your contact details, address, Bank Account information, PAN, GSTIN, business status, licences and more) remains true, accurate, complete, and up-to-date throughout Your tenure as a Seller on the Platform.
5.2. You must promptly update the Company of any changes specifically, changes to Your legal name, business structure, PAN, GSTIN, Bank Account Details, or primary contact information must be updated within 15 (fifteen) calendar days of the change occurring. Updates to other details like secondary addresses should also be made in a timely manner through Your Seller Account settings or designated communication channels as specified by the Company. Failure to do so may be considered a breach of this Policy and the Seller Agreement.
5.3. The Company reserves the right to conduct periodic reviews or re-verification of Your information and KYC documents at any time. This may be based on internal risk assessments, regulatory requirements, specific trigger events including without limitation change in bank account details, change in key management personnel (Directors/Partners), significant spike in sales volume or average transaction value, high volume of disputes/returns/claims, reaching certain cumulative payout thresholds, or detection of potentially suspicious activity patterns, or as part of ongoing due diligence processes.
5.4. You agree to cooperate fully and provide any requested information or documentation promptly if the Company initiates a periodic review or re-verification process.
5.5. Failure to maintain accurate information, promptly notify the Company of material changes, or cooperate with reasonable re-verification requests may result in the temporary suspension or permanent termination of Your Seller Account and selling privileges.
6. POLICY UPDATES
The Company reserves the right to modify or update this Seller Registration/KYC Policy at any time to reflect changes in legal or regulatory requirements, verification technologies, or Company procedures. Any changes will be communicated to you in advance. You are responsible for regularly reviewing this Policy.
